Wholesale Purchasing Terms & Conditions
Clear purchasing guidance for distributors, importers and institutional buyers sourcing Precivaro-branded surgical instruments. All orders are subject to written quotation and acceptance.
1. Wholesale buyers and scope
These wholesale purchasing terms describe Precivaro LLC’s standard commercial process for business customers, including distributors, importers, buying groups and healthcare institutions. Precivaro supplies surgical instruments under the Precivaro brand. These terms are intended to be read alongside our general Terms and Conditions and the applicable written quotation or sales agreement.
2. Requests for quotation and order acceptance
Submit the instrument name or item code, specifications, quantities, destination country and any documentation requirements through our Request a Quote page. Catalog descriptions and inquiries do not create a binding order. A quotation will state the applicable price, currency, scope, delivery basis, estimated lead time and validity period. Orders are subject to written acceptance by Precivaro.
3. Minimum order quantities
Minimum order quantities vary by product, specification and manufacturing requirements. The applicable minimum for each item or order will be confirmed in the written quotation. No universal minimum order quantity is promised on this website.
4. Prices and quotations
All prices are quotation-based and may vary with product mix, order volume, manufacturing costs, packaging, freight and destination. Unless explicitly included in the quotation, import duties, destination taxes, customs brokerage, bank fees and other local charges are excluded. The quotation identifies the agreed currency and Incoterms® rule.
5. Payment terms
Our standard wholesale payment schedule is 30% advance upon order confirmation and 70% balance before shipment. Payment instructions, currency and any expressly agreed exception will appear in the quotation or order confirmation. Precivaro may withhold production or shipment pending payment as agreed.
6. Production and availability
Production and preparation times depend on instrument types, quantities, factory capacity and quality checks. Estimated readiness and dispatch dates are provided in the quotation or order confirmation and may change due to circumstances outside Precivaro’s reasonable control. We will communicate material changes.
7. Delivery, shipping and insurance
The quotation will specify the applicable Incoterms® 2020 rule, named place and transport arrangement. Where agreed, shipments may be quoted on a DAP or CIP basis. Under DAP, Precivaro bears transit risk until delivery at the named place ready for unloading; under CIP, risk generally passes when goods are handed to the carrier even though carriage and required cargo insurance are paid to the named destination. The buyer is generally responsible for destination import clearance, duties and taxes under both rules. Specific arrangements in the accepted quotation control.
8. Import compliance and documentation
The buyer is responsible for confirming import eligibility and securing required licenses, product registrations, approvals and local labeling compliance in its destination market. Subject to availability and applicability, Precivaro can provide relevant commercial shipping documents and manufacturer or product documentation identified in the quotation. No particular certification or market approval should be assumed unless confirmed in writing.
9. Inspection, discrepancies and claims
Buyers should inspect shipments promptly upon receipt, document visible shipping damage with the carrier, and notify Precivaro of shortages or apparent specification discrepancies in writing with the order reference and supporting evidence. The applicable notice period and remedy process are governed by the accepted sales terms and quotation; this page does not establish an additional warranty or claims deadline.
10. Warranty, returns and cancellations
Product warranty, defect remedies, return authorization, cancellation conditions and any related costs are governed by the accepted quotation, sales agreement and applicable Terms and Conditions. Returns require prior written authorization. Made-to-order items may not be cancellable after production begins except as agreed in writing.
11. Order-specific terms and contact
This page is an overview of standard wholesale purchasing policies and is not itself a binding price offer. If an accepted quotation or signed sales agreement expressly varies a commercial term, that agreed order-specific term controls to the extent permitted by law. For purchasing questions, contact sales@precivaro.com or request a quotation.
